AIGE by Antix — Terms of Use

1. Scope and Acceptance
• These Terms apply to all visitors and users of the Service. If you access or use the Service on behalf of an entity, you represent that you have authority to bind that entity, and “you” includes that entity.
• Our Privacy Policy, Cookie Notice, and any Supplemental Terms (e.g., API Terms, Marketplace Terms, Enterprise Order Forms) are incorporated by reference. If there is a conflict, Supplemental Terms control for the relevant feature.
2. Key Definitions
• “AIGE” means Antix’s browser‑based creation studio for generating and editing content with your likeness (a “digital twin”) or with a character.
• “AIGORA” means Antix’s rights‑first marketplace for licensing assets (e.g., looks, scenes, props) and settling creator splits via smart contracts.
• “$ANTIX” means Antix’s utility token used for render priority, pro features, marketplace settlement, and governance.
• “NFT Passport” means a soulbound, non‑transferable on‑chain identity credential linking a verified person (or character) to a digital twin.
• “Content Attestation” means hashing/timestamping export metadata on‑chain so third parties can verify who created what and when.
• “Input” means any prompts, text, images, videos, audio, references, or other materials you provide to the Service.
• “Output” means the content generated by the Service in response to your Input.
• “Connected Account” means any third‑party account you link to the Service (e.g., social platforms, storage).
• “Credits” means prepaid usage units for features within the Service.
3. License to Use the Service
• Subject to your compliance with this Agreement, Antix grants you a limited, revocable, non‑exclusive, non‑transferable, non‑sublicensable license to access and use the Service for your personal or internal business purposes.
• We may provide APIs. We may set and change API limits at any time, including request caps, file sizes, and throughput.
4. Accounts and Registration
• You may need an account to access certain features. Provide accurate, current information and keep it updated.
• You are responsible for all activity under your account. Keep your credentials secure; promptly notify us of unauthorized use.
• Antix may reclaim usernames, suspend accounts, or deny access for violation of these Terms or for risk management.
5. Inputs, Outputs, and Rights
5.1 Your Ownership
As between you and Antix, you retain ownership of your Inputs and Outputs, subject to third‑party rights and applicable law. You are solely responsible for ensuring that your Inputs (and your use of Outputs) comply with law and do not infringe, misappropriate, or violate the rights of others, including rights of publicity and privacy.
5.2 License to Antix
To operate the Service, you grant Antix a worldwide, non‑exclusive, transferable, sublicensable, fully‑paid and royalty‑free license to host, cache, store, reproduce, process, modify, adapt, translate, create derivative works from, distribute, publicly perform, and display your Inputs and Outputs as reasonably necessary to: (i) provide, maintain, secure, and improve the Service; (ii) comply with law; and (iii) enforce this Agreement.
5.3 Model Improvement
We may use Inputs and Outputs to improve our models and systems. Enterprise and certain paid plans may allow opt‑out; see your account settings or contact support. We do not place biometric data or media itself on‑chain.
5.4 Public Areas and Marketing Use
If you submit content to public areas of the Service or participate in showcases or community events, you grant Antix permission to use your username and publicly share your content to promote the Service. You can opt out of marketing use by contacting support unless your submission was to a public gallery or showcase.
6. Identity and Provenance
6.1 NFT Passport (Soulbound)
• NFT Passport links a verified person (or character) to a digital twin via a non‑transferable token.
• Verification may use multiple private signals (e.g., voice, facial geometry, behavioral cues). Sensitive signals are stored off‑chain; the chain stores proofs/pointers.
• Passports cannot be transferred or sold.
6.2 Content Attestation
• Each export can be hashed and timestamped on‑chain.
• Third parties can view a public proof (who/what/when) without accessing your underlying files.
6.3 Consent and Controls
• Per‑twin consent rules can restrict categories, geos, usage windows, and campaign terms.
• If we validate misuse, we may revoke access, lock content, or flag provenance records.
7. Acceptable Use and Prohibited Conduct
• Do not upload or generate content that is unlawful, infringing, deceptive, harassing, hateful, or otherwise objectionable.
• Do not use another person’s likeness, voice, or identity without their express consent (and any required releases).
• No content involving minors in sexualized or exploitative contexts.
• Do not attempt to bypass security, probe systems, or interfere with Service operations.
• Do not use the Service, Inputs, or Outputs to build, train, or improve models that compete with Antix or to create training datasets for such models.
• Do not violate sanctions, export controls, or other applicable laws.
8. Monitoring and Enforcement
• We may monitor, review, remove, or disable access to content at our discretion.
• We may disclose information to comply with law, enforce this Agreement, respond to claims, or protect rights, property, or safety.
• We may suspend or terminate accounts for violations.
9. Purchases, Credits, and Billing
• Payments are processed by third‑party providers (e.g., Stripe). You authorize us and our provider to charge your payment method.
• Fees, taxes, and pricing may change. Except where the law requires, fees are non‑refundable.
• Credits are prepaid usage units that expire as stated in your plan; they have no cash value and are non‑transferable.
• Subscriptions auto‑renew unless canceled in your account settings before the renewal date.
10. $ANTIX Token and Wallet Flow
• $ANTIX is a utility token for render priority, pro features, marketplace settlement, and governance. It is not an investment product.
• Web2‑first UX: card payments may auto‑convert to $ANTIX in the backend; wallet connection is optional for most features.
• We support multiple chains (e.g., Ethereum, BNB, Base). We may route transactions to manage cost and latency.
• Token transactions may be irreversible; you are responsible for wallet security and on‑chain actions.
11. AIGORA Marketplace
• Marketplace listings include license terms enforced by smart contracts.
• Payouts/splits are executed programmatically per the applicable contract.
• You are responsible for the accuracy of your listings, rights clearances, and taxes.
• We may remove listings that violate rights or policy.
12. Intellectual Property and Takedowns
• Antix and its licensors own the Service and all related IP.
• We respect IP rights and respond to valid takedown requests. To report infringement, contact: [legal@yourdomain] with sufficient detail.
13. Disclaimers
• THE SERVICE, INPUTS, AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
• WE DO NOT GUARANTEE OUTPUT QUALITY, ORIGINALITY, OR FITNESS FOR A PARTICULAR PURPOSE. YOU ARE RESPONSIBLE FOR YOUR USE OF OUTPUTS.
• BETA OR EXPERIMENTAL FEATURES MAY CHANGE OR BE DISCONTINUED.
14. Limitation of Liability
• TO THE FULLEST EXTENT PERMITTED BY LAW, ANTIX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
• OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO ANTIX IN THE THREE (3) MONTHS BEFORE THE CLAIM OR (B) USD $100.
15. Indemnification
You agree to defend, indemnify, and hold harmless Antix and its affiliates, officers, employees, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your Inputs, Outputs, or listings; (ii) your use of the Service; (iii) your violation of this Agreement; or (iv) your violation of law or third‑party rights.
16. Dispute Resolution; Arbitration; Class Waiver
• Informal Resolution: Before filing a claim, you agree to first contact us at [legal@yourdomain] to seek an informal resolution within 30 days.
• Arbitration: Except where prohibited by law, disputes will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association (AAA) or another agreed provider.
• Class Waiver: You and Antix agree to bring claims only in your individual capacities, not as a plaintiff or class member in any purported class or representative proceeding.
• Opt‑Out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing [legal@yourdomain] with your opt‑out notice.
17. Termination
• You may stop using the Service at any time and delete your account.
• We may suspend or terminate access for any breach or risk to the Service. Upon termination, certain provisions survive, including ownership, licenses, disclaimers, limitations of liability, and dispute resolution.
18. Changes to the Service and Terms
• We may update the Service and these Terms. We will post updates and change the “Last Updated” date.
• If you have an account, we may notify you of material changes. Continued use after changes means you accept them.
19. Privacy and Security
• Our Privacy Policy explains how we collect and use personal data.
• We encrypt sensitive inputs at rest and use access controls. We do not store biometrics on‑chain.
• You control retention and may request deletion, subject to legal holds and on‑chain immutability of proofs.
20. General Terms
